1. Acceptance Of Terms

These Terms and Conditions ("Terms") govern your access to and use of w3elites.com (the "Site" or "Platform"), operated by W3Elites ("W3Elites," "we," "us," or "our"), a company based in India. By accessing or using the Site, creating an account, submitting a business listing, posting a review, or otherwise using our services (collectively, the "Services"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Services.

If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding contract to use the Services. By using the Site, you represent and warrant that you meet these requirements.

3. Description Of Services

W3Elites operates an online directory that connects businesses and service providers ("Listed Businesses") with individuals and organizations seeking such services ("Buyers" or "Users"). Our Services may include business listings, client reviews, ratings, comparison tools, inquiry/lead generation features, and premium advertising placements.

W3Elites is a platform for discovery and connection only. We are not a party to any agreement, transaction, or contract formed between Users and Listed Businesses, and we do not guarantee the quality, safety, legality, or accuracy of any listed business or the services they offer.

4. Account Registration

• 4.1 To access certain features, you must register for an account and provide accurate, current, and complete information.
• 4.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• 4.3 You must notify us immediately of any unauthorized use of your account.
• 4.4 We reserve the right to suspend or terminate accounts that provide false, misleading, or incomplete information.

5. Business Listings

• 5.1 Accuracy: Businesses submitting listings ("Listing Owners") warrant that all information provided — including company details, services, portfolios, pricing, and contact information — is accurate, current, and not misleading.
• 5.2 Verification: We may, but are not obligated to, verify the accuracy of listing information. Listing Owners remain solely responsible for the content of their listings.
• 5.3 Editorial Discretion: W3Elites reserves the right to edit, reject, suspend, or remove any listing, in whole or in part, at our sole discretion, including for violations of these Terms, suspected fraud, or content that we deem inappropriate.
• 5.4 Premium Listings: Certain features, such as enhanced visibility, premium placement, or badges, may be offered on a paid subscription basis as described in Section 7.
• 5.5 No Endorsement: Inclusion of a business in our directory does not constitute an endorsement, certification, or guarantee by W3Elites of that business's services, qualifications, or reliability.

6. Reviews And User-Generated Content

• 6.1 Authenticity: Users submitting reviews represent that they have had a genuine business relationship or transaction with the reviewed entity, and that their review reflects their honest, good-faith opinion.
• 6.2 Prohibited Content: Reviews and other user-generated content must not contain: false statements, defamatory content, hate speech, harassment, spam, conflicts of interest (e.g., reviewing your own business or a competitor), confidential information, or content that infringes third-party rights.
• 6.3 Moderation: We reserve the right, but are not obligated, to review, edit, refuse to post, or remove any content at our sole discretion, with or without notice.
• 6.4 License Grant: By submitting content (including reviews, listings, images, and comments) to the Platform, you grant W3Elites a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, publish, distribute, and display such content in connection with operating and promoting the Services.
• 6.5 Responsibility: You are solely responsible for the content you submit. We are not responsible for verifying the truth or accuracy of user-generated content.

7. Fees And Payments

• 7.1 Certain Services, such as premium listings, featured placements, or advertising, may require payment of fees as described on the Site at the time of purchase.
• 7.2 All fees are quoted in the currency specified at checkout and are non-refundable except as required by law or expressly stated in a specific service agreement.

8. Prohibited Conduct

• Interfere with or disrupt the security, integrity, or performance of the Site.
• Upload viruses, malware, or other harmful code.
• Use the Services to send unsolicited advertising, spam, or "junk mail."
• Reverse engineer, decompile, or attempt to extract the source code of the Platform.
• Violate the intellectual property, privacy, or other rights of any third party.

9. Intellectual Property

• 9.1 Platform Content: All content on the Site, including text, graphics, logos, software, and design (excluding user-generated content), is the property of W3Elites or its licensors and is protected by intellectual property laws.

The Site may contain links to third-party websites or services that are not owned or controlled by W3Elites. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. Your interactions with Listed Businesses or third-party sites are solely between you and that third party.

11. Disclaimers

11.1THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 W3Elites does not warrant that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected.

11.3 We do not warrant or guarantee the accuracy, completeness, or reliability of any business listing, review, or other content submitted by Users.

11.4 We are not responsible for any disputes, damages, or losses arising from transactions, agreements, or interactions between Users and Listed Businesses.

12. Limitation Of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, W3ELITES AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO W3ELITES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) INR 5,000.

13. Indemnification

You agree to indemnify, defend, and hold harmless W3Elites and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your content or listings; or (d) your violation of any rights of a third party.

14. Termination

• 14.1 We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other Users, or is otherwise objectionable.
• 14.2 You may terminate your account at any time by contacting us or using account deletion features, where available.
• 14.3 Provisions that by their nature should survive termination (including Sections 9, 11, 12, 13, and 16) shall survive any termination of these Terms.

15. Modifications To Terms And Services

We reserve the right to modify these Terms at any time. Material changes will be communicated via the Site or by email. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms. We also reserve the right to modify, suspend, or discontinue any part of the Services at any time without liability.

16. Governing Law And Dispute Resolution

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms, in whole or in part, at our sole discretion without restriction.

21. Force Majeure

W3Elites shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, internet or telecommunications failures, or governmental action.
